1. Acceptance of Terms

By accessing or using GatherDwell (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. We may update these terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

GatherDwell is a property management platform designed for landlords and property managers. The Service provides tools for tracking properties, managing tenants and leases, recording rent payments and expenses, and generating financial reports. The Service is intended to help you organize and monitor your rental portfolio, not to replace professional property management, legal, or accounting services.

3. Account Registration

To use the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Keep your password secure and confidential. You are responsible for all activity that occurs under your account.
  • Maintain only one account per person. Sharing account credentials with others is not permitted.
  • Notify us immediately if you suspect any unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these terms. Specifically, you agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or any systems or networks connected to the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload or transmit any malicious code, viruses, or harmful data.
  • Use the Service to store or transmit content that infringes on the rights of others.

5. Your Data

You retain full ownership of all data you enter into the Service, including property details, tenant information, financial records, and any other content you provide. GatherDwell does not claim any ownership rights over your data. We will not sell, share, or distribute your data to third parties except as required to provide the Service or as required by law. Your use of the Service is also subject to our Privacy Policy, which describes how we collect, use, and protect your information.

6. AI Features

GatherDwell includes an AI-powered assistant that can answer questions about your property data. When you use this feature:

  • Your queries and relevant property data are processed by third-party AI services (Google Gemini via OpenRouter) to generate responses.
  • AI responses are generated automatically and may not always be accurate. You should verify any information provided by the AI assistant before making decisions based on it.
  • Your data sent to the AI service is not used for model training and is not retained by the AI provider after processing your request.
  • The AI assistant is limited to answering questions about your own property management data and cannot access other users' information.

7. Service Availability

The Service is provided on an “as is” and “as available” basis. While we strive to maintain high uptime and reliability, we do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may perform scheduled maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to notify you of any planned downtime in advance.

8. Limitation of Liability

To the fullest extent permitted by applicable law, GatherDwell and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

The Service is a tool for organizing property management information. It is not a substitute for professional property management services, legal advice, or accounting services. You are responsible for verifying the accuracy of any information and for making your own informed decisions regarding your properties and tenants.

9. Termination

Either party may terminate this agreement at any time. You may stop using the Service and delete your account at your discretion. We reserve the right to suspend or terminate your access if you violate these terms or engage in conduct that we reasonably believe is harmful to the Service or other users. Upon termination, you may request deletion of your data, and we will comply within a reasonable timeframe, subject to any legal obligations to retain certain records.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada. Any disputes arising from or relating to these terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada.

11. Changes to Terms

We may revise these Terms of Service at any time by updating this page. Changes take effect immediately upon posting. We will update the “Last updated” date at the top of this page to reflect the most recent revision. We encourage you to review these terms periodically. Your continued use of the Service after any changes constitutes your acceptance of the revised terms.
